These Website Terms of Use ("Terms") govern your use of XcelCompanies.com (the "Site"), operated by Xcel Payments, LLC d/b/a Xcel Companies ("Xcel," "we," "our," or "us"). By using the Site, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use the Site.
1. Website Purpose
The Site provides general information about Xcel's payments advisory and referral services and a way to request a conversation. Xcel is not itself the payment processor for transactions described on the Site. Payment processing, underwriting, settlement, pricing, and related services are provided by independent third-party providers under their own agreements and terms.
2. No Commitment or Guarantee
Submitting an inquiry does not create a processor relationship, require you to change providers, or obligate Xcel or any third party to offer services. Availability, pricing, underwriting, technology, and commercial terms depend on the circumstances of each business and the applicable provider.
Xcel does not guarantee savings, approval, pricing, funding timing, technology compatibility, or any other outcome. Historical company-reported figures and illustrative examples on the Site are not forecasts or promises of future results.
3. Savings Explorer and Other Illustrations
The savings explorer and similar examples are provided solely to illustrate arithmetic. They are not quotes, recommendations, savings forecasts, or statements of typical results. Actual economics may differ based on transaction mix, interchange, assessments, provider fees, contract terms, implementation costs, eligibility, and other factors.
4. No Legal, Tax, Accounting, or Compliance Advice
Information on the Site is for general business information only. Xcel does not provide legal, tax, accounting, or compliance certification through the Site. You should consult your own qualified advisers when those matters are relevant to a decision.
5. Information You Submit
You agree that information you submit through the Site will be accurate to the best of your knowledge and that you will not use the Site to transmit payment card numbers, bank credentials, passwords, unlawful content, malicious code, or other sensitive credentials. Personal information submitted through the Site is handled as described in our Privacy Policy.
6. Third-Party Providers and Links
Xcel may introduce or coordinate with independent payment processors, technology providers, and other businesses. Xcel does not control those third parties and is not responsible for their websites, systems, underwriting decisions, performance, acts, omissions, or privacy practices. Any provider relationship is governed by the agreement between you and that provider.
7. Intellectual Property
The Site and its text, graphics, logos, design, and other content are owned by or licensed to Xcel and are protected by applicable intellectual-property laws. You may use the Site for your internal, lawful business evaluation. You may not reproduce, modify, distribute, scrape, republish, or commercially exploit Site content without prior written permission, except as permitted by law.
8. Acceptable Use
You may not use the Site to violate law; interfere with Site operation or security; attempt unauthorized access; impersonate another person or entity; transmit spam or malicious code; or collect information from the Site through automated means in a manner that burdens or disrupts the Site.
9. Disclaimer of Warranties
To the fullest extent permitted by law, the Site and its content are provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Site will always be available, error-free, secure, complete, or current.
10. Limitation of Liability
To the fullest extent permitted by law, Xcel Payments, LLC and its affiliates, officers, employees, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of the Site. Nothing in these Terms excludes liability that cannot lawfully be excluded.
11. Governing Law and Disputes
These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles. To the extent permitted by law, disputes arising from these Terms or the Site will be resolved through binding arbitration on an individual basis in Denver, Colorado, under the applicable rules of the American Arbitration Association, unless the parties agree otherwise. If arbitration is not enforceable, the parties consent to the state or federal courts located in Colorado.
12. Changes and Severability
We may update these Terms by posting revised Terms on the Site and changing the effective date. If any provision is held unenforceable, the remaining provisions will continue in effect. A failure to enforce a provision is not a waiver of that provision.
